SUPPLEMENTARY INFORMATION DOCUMENT (SID)

This document provides supplementary information related to your investment in one or more of the sub-funds of the Company and should be read in conjunction with the Key Investor Information Document (“KIID”) and the Company’s prospectus and supplements to the prospectus in respect of each sub-fund.

What are the Key Investor Information Documents (KIIDs) and Supplementary Information Document (SID)?

The KIIDs and SID are essential documents available to all investors. The KIIDs contain details of the investment objectives, charges and risks of each of the sub funds of the Company. The KIID is aimed at helping you assess whether a particular fund meets your needs. It comes in a standardised format. The purpose of the SID is to provide investors with information on our complaint handling arrangements, the availability of compensation schemes and any right to cancel an investment if you change your mind. Full details of the Company and its sub-funds are set out in the Company’s prospectus and supplements to the prospectus in respect of each sub-fund.

When considering an investment in any of our funds, you should read the KIID and SID carefully so that you understand what you are buying, review the prospectus (together with its supplements) if you wish to review full details of the Company and take advice if you are unclear about the contents. You should keep them safe for future reference. If you have any doubts about the appropriateness or suitability of an investment in a sub-fund of the Company for you, please contact an independent investment advisor.

How should I use the KIID and SID?

We recommend that you consult an independent investment advisor if you wish to discuss the suitability of an investment in Shares and/or obtain further information on the Shares, the Company or its sub-funds. These documents should be used to help you to decide which of our sub-funds are the most appropriate investment for your needs. These documents aim to give you a summary of the charges and risks associated with the sub-funds.

Funds status in the United Kingdom?

The Company and its sub-funds (the “Sub-Funds”) are recognised in the United Kingdom (the “U.K.”) for the purposes of section 264 of the Financial Services and Markets Act 2000 (the “FSMA”) of the U.K.. The distributor of the shares in the recognised sub-funds of the Company (the “Shares”) in the U.K. is Eaton Vance Management (International) Limited (the “Distributor”) which is authorised and regulated by the Financial Conduct Authority (the “FCA”). The Distributor has been appointed as the Distributor in the U.K. pursuant to a Distribution Agreement between the Company and the Distributor which took effect on 21 March 2002.

Am I covered by the UK Compensation Scheme?

The Company is not authorised and regulated by the FCA under the FSMA and is not a member of the U.K. Financial Services Compensation Scheme (UK FSCS”). A U.K. investor will not benefit from the protections provided by the U.K. regulatory system and in the event of the Company being unable to meet its liabilities, investors will not benefit from rights under the UK FSCS.

How do I invest?

You can buy shares directly through the Distributor or through an investment advisor or other intermediary. Intermediaries who recommend an investment in the Company to investors may be entitled to receive one-off and/or ongoing commission from the Distributor. When we receive a completed application form and payment, we will issue shares to you in the sub-fund(s) you have chosen. We will send you or your investment adviser (or both) a confirmation following the investment. You will also be given an account number to use when you contact us.

What happens if I change my mind?

If you are a natural person (acting for purposes outside your trade, business or profession) and you received advice in person from a investment advisor to invest in a sub-fund, and subsequently invested in a sub-fund, you will receive a notice from your advisor informing you of any right to change your mind and instructions on how to cancel. You will then have 14 days, from the date of your investment, in which to exercise any right to cancel your investment. If you decide to proceed with a cancellation, we will return your investment money. Please note that if the value of the Shares has changed from the time your money was originally invested you may not receive your full money back.

Otherwise, your right to cancel or redeem your Shares will be in accordance with the procedures set out in the prospectus.

What if I have a complaint?

You should write to the Trustee at Citibank International Limited, Ireland Branch, 1 North Wall Quay, Dublin 1, Ireland.

If your complaint is against the Distributor or other intermediary and is not to your satisfaction, you may be entitled to refer your complaint to the Financial Ombudsman Service Ltd at South Quay Plaza, 183 Marsh Wall, London E14 9SR, UK. A summary of the Distributor’s internal process for dealing with complaints is available on request.
